Name Changes of Company/LLP | an overview on Process

Board with Approval of shareholder may change name of the company any time subject to approval of the Ministry of Corporate Affairs (MCA) and the proposed new name available and approved by MCA.

The following e-forms need to be filed:

1.The existing company needs to reserve the name through ‘RUN’.

2.After the name is approved, MGT-14 (necessary resolution for alteration of Memorandum of Association and Articles of Association (MOA and AOA) needs to be filed.

3. e-Form INC-24 (Application for approval of Central Government for change of name) needs to be give effect to change in name.

Here involves Name Reservation ROC Fee ( Run Filing), filing of MGT-14 Fee and Processional Certification ( CA, CS or CMA) Fee and Professional Fee for all Legal works.

Procedure for Company name Change in India

Pass a Board Resolution
1. Convene Board meeting by giving at-least 7 days prior notice of Board meeting and approve new name. In the same board meeting, issue notice for calling Extra-Ordinary General Meeting for members approval for company name change.
Check Company Name Availability & Apply New Name
Check proposed new name availability online.
File name approval RUN (Reserve Unique Name) with ROC along with attachment of board resolution passed for new name.
If TradeMark filed or in the name of the company already registered - Attach copy of TM Acknowledgement copy or TM certificate with NOC from Proprietor ( one ID proof to be attached here with)
Hold an EGM and pass a Resolution
Hold Extra-general Meeting and pass resolution by majority of members approval for change of name of company.
Alteration of MOA and AOA
Alter Moa and AOA by inserting new name of company
File Form MGT-14 & INC 24
File Form MGT-14 for special resolution passed in EGM.
and form INC-24 for name change of company along with Board resolution, Notice of EGM and CTC of EGM resolution, Altered copy of MOA and AOA, Minutes of EGM and the affidavit from Director.
# e-form MGT 14 and INC 24 to be digitally attested by Company Secretary or Chartered Accountant or Cost Accountant in Practice
Issuance of New Certificate of Incorporation
After approval of Form INC-24, Fresh Certificate of incorporation pursuant to change of name is generated and sent to the user as an attachment to the email. It takes minimum 25 days in approval of this form as this form is Application for approval of Central Government.
